It’s 2024, there’s tens of SPV solutions out there and no investor should have to take a trip to a notary in order to make a $10k investment. PSA to all angel investors. Please don’t fight founders using SPVs. It’s in your best interests and ensures the maximal amount of funds raised gets deployed towards growth and innovation, not to notary and legal fees. In fact the Swiss Bank Secrecy Act is in place exactly for this reason - to prevent confidential client information being spread without consent. SPVs. You've probably heard of them, might have even used them, but do you really know what they are? SPV - short for "Special Purpose Vehicle" - is a type of legal vehicle used for the sole purpose of carrying out a specific transaction (e.g. the acquisition or financing of specific assets). SPVs have been used since the 80's to structure numerous types of transactions - but they've become popularised by VCs and Startups who use them to raise and deploy capital during fundraising rounds. An SPV can be used to fund (almost) any asset type, including: - Private Stock (e.g. the purchase of company shares) - Infrastructure (e.g. the purchase of a factory or equipment) - Real Worlds Assets (e.g. the purchase of land or real estate) - Mezzanine Finance (e.g. a mix of both debt and equity) - Project Financing (e.g. the financing of a solar farm) 👉 A Founder might use an SPV to roll-up numerous investor in their round as a single investors on the cap table - or to finance a specific project, like the funding of their first factory. 👉 A VC might use an SPV to structure co-investment opportunities with their LP's outside of their main fund - or to bring in a number of smaller ticket investors as a single LP in their next fundraise. We've structured over 100+ SPVs through KAPITAL - ranging from single asset club deals to clearable products with XS ISINs - over that time we've gotten a lot of questions on how SPVs work.
